2. General terms of sale
2.1 Purpose
These terms govern Eukleia's services: custom software development (Mind), advisory and support on SAP and Microsoft Dynamics 365, integration, change management, functional support and training.
2.2 Quotes and orders
Each engagement is the subject of a written quote setting out the scope, deliverables, timeline and price. The quote is valid for 30 days. The order is firm upon receipt of the signed quote.
2.3 Prices and payment
Prices are stated excluding tax, in Swiss francs or euros depending on the quote. Unless otherwise agreed, invoicing is 30% on order, 40% at mid-point, 30% on delivery. Payment is due 30 days net. Late payments accrue statutory interest at the applicable rate.
2.4 Timeline and execution
Timelines are indicative and depend on client cooperation (access, validations, data). Any change in scope is subject to an addendum.
2.5 Intellectual property
Unless otherwise stated in the quote, the source code of bespoke software is transferred to the client after full payment. Eukleia retains ownership of its tools, technical components and pre-existing know-how.
2.6 Confidentiality
Eukleia undertakes to preserve the confidentiality of information exchanged during engagements, including after the end of the contract.
2.7 Liability
Eukleia's liability is limited to direct damages and capped at the amount invoiced for the engagement concerned. Eukleia is not liable for indirect damages (loss of data, business interruption, loss of profit).
2.8 Applicable law and jurisdiction
These terms are governed by Swiss law and may also be subject to French law. Any dispute falls within the exclusive jurisdiction of the courts of Geneva, subject to appeal before the Federal Supreme Court.
3. Privacy policy (GDPR / Swiss FADP)
3.1 Data controller
Eukleia SA, at the address indicated above, is the controller of personal data collected through this website and in the course of its engagements.
3.2 Data collected
- Identification data: surname, first name, role, company.
- Contact data: email, phone.
- Content of messages sent through the contact form.
- Technical data: pages viewed, browser type, connection data (logs).
3.3 Purposes and legal bases
- Respond to contact requests and prepare quotes (pre-contractual performance).
- Carry out engagements and manage the client relationship (contract performance).
- Improve the website and measure audience (legitimate interest).
- Send professional communications (consent, revocable at any time).
3.4 Recipients
Data is processed by Eukleia and, where applicable, by its technical subcontractors (hosting providers, messaging tools, analytics platforms) bound by equivalent contractual obligations.
3.5 Retention period
Contact requests: 3 years from the last exchange. Contractual data: duration of the contract plus 10 years for legal and accounting obligations. Technical logs: 12 months maximum.
3.6 Your rights
Under the GDPR and the Swiss FADP, you have rights of access, rectification, erasure, restriction, objection and portability over your data. You can exercise these rights by writing to info@eukleia.eu. You also have the right to lodge a complaint with the competent supervisory authority (CNIL in France, FDPIC in Switzerland).
3.7 Cookies

3.8 Security
